is our sole member and owns
all of our equity interests.
We were formed solely for
the purpose of purchasing
and owning the transition
property, issuing notes from
time to time, pledging our
interest in the collateral
to the indenture trustee under
the indenture in order to
secure the notes and engaging
in activities necessary suitable
or convenient for the accomplishment
of these purposes.
