In July 2007, the Securities and Exchange Commission (SEC) issued a “Notice and Access” rule that allows companies to provide access to proxy materials through the Internet as an alternative to the traditional delivery of printed proxy materials. By implementing this rule, AEP reduces the number of printed copies of its annual report and proxy materials, significantly reducing the environmental impact and lowering the cost of producing and delivering these materials.
However, AEP will gladly provide you with hard copies of these materials upon request. We will mail them to you within three business days of your request.
By following the instructions in the Shareholder Meeting Notice & Admission Ticket, you may access our proxy materials on the website referred to in the notice. The notice also includes instructions on how to vote your shares and request printed copies of the proxy materials.
- How do I access AEP’s Annual Meeting materials online?

The notice you received provides an Internet address and instructions to view our proxy materials for the 2018 Annual Meeting online: AEP’s 2018 proxy statement and the 2017 Annual Report.
- How do I vote my shares of AEP stock?

If you were a shareholder as of the February 26, 2018 record date, you may vote your shares via the Internet by following the instructions in the Shareholder Meeting Notice & Admission Ticket. Registered shareholders can access this material at www.envisionreports.com/AEP. “Street name” holders may access the material at www.edocumentview.com/AEP. To vote your shares via the Internet, you will need to have the access control number that is shown on your notice. If you receive printed copies of the annual meeting materials by mail, you may also vote by signing and submitting your proxy card and returning it by mail, or you can vote by telephone. All proxies properly submitted will be counted at the annual meeting and voted in accordance with your instructions. If you submit your proxy without voting instructions, your shares will be voted in accordance with the recommendations of the Board of Directors.
- What is the difference between holding shares as a registered shareholder of record and as a beneficial owner of shares held in “street name”?

If your shares are registered directly in your name with our transfer agent, Computershare Trust Company, N.A., you are considered the “shareholder of record” of those shares, and the notice was sent directly to you by mail March 14, 2018.
If your shares are held in an account at a brokerage firm, bank, broker-dealer or other similar organization, you are the beneficial owner of shares and the notice was forwarded to you by your bank or broker.

AEP’s 2018 Annual Meeting of Shareholders will be held April 24 at 9:00 a.m. Eastern Time at The Ohio State University Ohio Union, 1739 N High St., Columbus, Ohio.

- Do I need an admission ticket to attend the annual meeting?

You need to bring documentation showing that you owned shares of AEP on the record date of February 26, 2018. If you are a registered shareholder, you can present the Shareholder Meeting Notice & Admission Ticket that you received in the mail. If you voted your shares electronically via the Internet, you can print an admission ticket after you have voted by clicking on the “Options” button. Or, if you are a registered shareholder who received the proxy materials by mail, your admission ticket is attached to the proxy card.
If you hold your shares in “street name” through a bank or broker, you may bring the notice that was mailed to you, contact your bank or broker to request a “legal proxy” or bring a copy of your broker statement to the meeting showing that you owned shares on the record date.
- Where can I park at the annual meeting?

The Ohio State University Ohio Union is located at 1739 N. High Street, at the corner of 12th Avenue and High Street. Shareholders should park in The Ohio Union South Garage (1723 College Rd. South) off 12th Avenue. A passenger drop-off loop is located off of the 12th Avenue entrance to the Ohio Union.
You must pull a white ticket from the gate machine to enter The Ohio Union South Garage. After you park, attendants and signage will direct you toward AEP’s registration and breakfast area prior to the shareholders meeting. When you arrive at AEP’s registration table, please pick up a pink voucher. You must have both your white ticket and your pink voucher to exit the garage after the meeting at no cost to you.
