AEP REORGANIZES POWER GENERATION GROUP

Columbus, Ohio, and Dallas, March 22, 2000 -- American Electric Power (NYSE:AEP) has reorganized its existing power generation group into a new operations and technical services organization.
John F. Norris, senior vice president of operations and technical services in AEP’s Wholesale business unit, announced members of his team who will manage the organization before and after a merger with Central and South West Corp. (NYSE:CSR).
Norris said interim reporting lines have been established pending the merger’s completion, which is expected in the spring. CSW executives will assume their roles upon closure of the merger.
“Our goal is to create a structure that will take advantage of the combined companies’ technical strengths and to turn those strengths into competitive advantages. I am confident we have developed a structure and a management team that will make us a significant force in the wholesale marketplace,” Norris said.
Reporting to Norris, with current company affiliations in parentheses, will be:
-- John R. Jones (AEP), president - Pro Serv(SM) Inc. -- This new technical services group will combine the existing power generation engineering, generation projects, environmental services, operation of the Cook Coal Terminal, rail car maintenance, laboratory services and maintenance services organizations of both AEP and CSW. The resulting organization will provide clients with a full array of project management, engineering, construction, operations, technical services and maintenance expertise. Services will be marketed as AEP Pro Serv Inc., the new name for AEP Resources Service Co.
-- Michael I. Williams (CSW), vice president - fossil/hydro operations -- Williams will manage the combined companies’ fleet of fossil and hydro power plants. Until the merger closes, Charles D. Weaver will continue to manage AEP's fossil & hydro activities.
-- Charles A. Ebetino (AEP), senior vice president - coal mines -- Ebetino will continue to oversee the company's three mining operations and related regulatory activities. AEP's mine holdings include Windsor Coal Co. (West Liberty, W.Va.), Central Ohio Coal Co. (Cumberland, Ohio) and Southern Ohio Coal Co. (Albany, Ohio).
-- Michael K. Tate (AEP), president - Louisiana Intrastate Gas (LIG) Co. LLC. -- Tate will retain responsibility for managing LIG and its related companies. LIG is a fully integrated natural gas gathering, processing and storage business owned by AEP. The operations include a 2,000-mile intrastate pipeline system, four natural gas processing plants (LIG Liquids Co.); and 7 bcf of gas storage facilities (Jefferson Island Storage & Hub Co. LLC).
-- Thomas P. Householder (AEP), director - administrative services -- Householder will be responsible for supporting the operations and technical services organization with supply chain, training, safety support and miscellaneous administrative services.
-- Richard H. Smith (CSW), president - NUMANCO -- Smith will continue to lead the NUMANCO Group. NUMANCO -- the leading provider of engineering, maintenance manpower, health physics, decontamination and related services to the nuclear industry – is majority-owned by CSW.
AEP and CSW announced their intention to merge on Dec. 22, 1997, and are awaiting approval of the Securities and Exchange Commission. Upon completion of the merger, the new company will be called American Electric Power.
